Item 8.01 Other Events.

On June 28, 2016, we acquired Auburn MOB from Kargan Holdings, LLC for $5,450,000, plus closing costs. We financed the purchase of Auburn MOB using cash proceeds from our initial public offering. In connection with the acquisition of Auburn MOB, we paid to Griffin-American Healthcare REIT IV Advisor, LLC, our advisor, a base acquisition fee of approximately $122,625, or 2.25% of the contract purchase price of Auburn MOB. Additionally, as described more fully in the prospectus for our initial public offering, we have accrued for a contingent advisor payment of approximately $122,625, or 2.25% of the contract purchase price of the property which shall be paid to our advisor, subject to the satisfaction of certain conditions.

Auburn MOB is a single-story medical office building located in Auburn, California that consists of approximately 19,000 square feet and is currently 100% leased to The Regents of the University of California for the benefit of UC Davis Medical Group. Medical services provided at Auburn MOB include family medicine, internal medicine, pediatrics, cardiology, obstetrics/gynecology and orthopaedics.

On June 28, 2016, our board of directors authorized a daily distribution to our Class T stockholders of record as of the close of business on each day of the period commencing on July 1, 2016 and ending September 30, 2016 and to our Class I stockholders of record as of the close of business on each day of the period commencing on the date that the first Class I share is sold and ending on September 30, 2016.

The daily distributions will be calculated based on 365 days in the calendar year and will be equal to $0.001643836 per share of our Class T and Class I common stock. These distributions will be aggregated and paid in cash or shares of our common stock pursuant to our distribution reinvestment plan monthly in arrears. The distributions to our Class T stockholders declared for each record date in the July 2016, August 2016 and September 2016 periods will be paid in August 2016, September 2016 and October 2016, respectively. The distributions to our Class I stockholders, if any, declared for each record date in the June 2016, July 2016, August 2016 and September 2016 periods will be paid in July 2016, August 2016, September 2016 and October 2016, respectively, only from legally available funds.

On June 29, 2016, American Healthcare Investors, LLC, one of our co-sponsors and the managing member of our advisor, issued a press release announcing our acquisition of Auburn MOB. A copy of the press release, which is hereby incorporated into this filing in its entirety, is attached to this Current Report on Form 8-K as Exhibit 99.1.

Griffin-American Healthcare REIT IV Acquires
Auburn Medical Office Building Near Sacramento

SACRAMENTO, Calif. (June 29, 2016) – American Healthcare Investors and Griffin Capital Corporation, the co-sponsors of Griffin-American Healthcare REIT IV, Inc., announced today that the REIT has acquired Auburn Medical Office Building, an approximately 19,000-square-foot medical office building in the affluent Sacramento suburb of Auburn, California.

Auburn Medical Office Building is 100 percent leased to The Regents of the University of California for the benefit of UC Davis Medical Group, a member of the UC Davis Health System, which has occupied the building since its construction in 1997. Strategically located within a block of the 72-bed Sutter Auburn Faith Hospital, a number of healthcare services are provided in the building, including primary care and specialty services such as pediatrics, cardiology, orthopaedics, obstetrics and gynecology, imaging and laboratory procedures.

“Auburn Medical Office Building is an ideal acquisition for Griffin-American Healthcare REIT IV,” said Danny Prosky, a principal of American Healthcare Investors and president and chief operating officer of Griffin-American Healthcare REIT IV. “It is 100 percent leased to an exceptional tenant that has been in occupancy for nearly 20 years and enjoys an institutional grade credit rating of Aa2 from Moody’s Investor Services. Additionally, it is located in close proximity to a significant acute care hospital and plays an important role in the regional healthcare delivery system.”

Auburn Medical Office Building was acquired from Kargan Holdings, LLC, an unaffiliated third party represented by Newmark Grubb Knight Franks’ Dana Hamric, Todd Perman, Garth Hogan and Joey Dillard. Griffin-American Healthcare REIT IV was represented by Jeff Traynor of Newmark Cornish & Carey and financed the acquisition using cash on hand.
